Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Nexxtool platform, website, and related services (collectively, the “Service”) operated by the Nexxtool team (“Nexxtool”, “we”, “us”). By creating an account, redeeming an invite code, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Account eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account. You must provide accurate registration information and keep it current. You are responsible for all activity that occurs under your account and for safeguarding your credentials. Access is currently invitation-only; we may revoke or decline invitations at our sole discretion.

2. Acceptable use

You agree not to use the Service to:

• Violate any law, regulation, or third-party right, including intellectual-property, privacy, and export-control laws;
• Generate or distribute content that is unlawful, defamatory, sexually explicit involving minors, harassing, or intentionally misleading in a way that harms others;
• Probe, scan, or test the vulnerability of our systems, circumvent rate limits, or attempt to access accounts or data that are not yours;
• Resell, sublicense, or expose the Service to third parties outside the scope of your plan;
• Use automated means (scraping, bots, headless agents) beyond what your plan explicitly permits;
• Upload or transmit malware, spam, or content that infringes a third party’s copyright or trademark.

We may suspend or terminate accounts that violate this section without notice if continued access would create material risk.

3. Billing & subscriptions

Paid plans are billed in advance on a monthly basis via Stripe, our payment processor. By subscribing you authorize us (through Stripe) to charge your payment method on each renewal. Subscriptions renew automatically at the then-current rate unless you cancel before the renewal date. Taxes may apply based on your billing address.

Each plan includes a monthly usage allowance (number of tasks, knowledge files, outbound messages, etc.). Usage resets on your billing anniversary. Exceeding your allowance is blocked at the API level; you can upgrade to continue.

4. Refund policy

All payments are final. Because the Service consumes compute credits and third-party API calls on your behalf the moment you use it, we do not provide refunds once any billable usage has been recorded in a billing period. If you have not consumed any billable usage in the current billing period, you may request a refund within seven (7) days of the most recent charge by emailing support@nexxtool.ai. Refunds are granted at our discretion and do not apply to renewals that follow a prior period in which usage was recorded.

5. User-generated content

You retain ownership of the prompts, files, and artifacts you submit to or produce with the Service (“User Content”). You grant Nexxtool a non-exclusive, worldwide, royalty-free license to store, process, transmit, display, and sub-license to service providers (such as model vendors) your User Content solely to operate, maintain, and improve the Service.

You represent that you have all rights necessary to submit your User Content and that it does not infringe any third-party rights. You are solely responsible for User Content and for any outputs you choose to publish, deploy, or distribute.

6. Third-party services

The Service integrates with third-party providers including model vendors, email and SMS delivery services, hosting platforms, and payment processors. Your use of those providers through the Service is also governed by their respective terms. We are not responsible for outages, content, or actions of third parties.

7. Termination

You may terminate your account at any time by cancelling your subscription from the billing portal or by emailing support@nexxtool.ai. We may suspend or terminate your access immediately and without refund if you breach these Terms, abuse the Service, or if we are required to do so by law. Sections 4 through 11 survive termination.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Outputs produced by AI models may be inaccurate, offensive, or unsuitable for your purpose. You are responsible for reviewing and verifying outputs before relying on them. We do not guarantee uninterrupted availability.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXXTOOL AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS.

10. Governing law & disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to the Service or these Terms will be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.

11. Changes

We may update these Terms from time to time. If the changes are material, we will notify you by email or in-app notice before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
